>> GOOD EVENING, LADIES AND GENTLEMEN, THIS IS THE REGULAR MONTHLY MEETING OF THE CARMEL REDEVELOPMENT COMMISSION, WE DO HAVE A QUORUM OF OUR MEMBERS PRESENT. SO IF YOU WOULD JOIN ME FOR

[1. PLEDGE OF ALLEGIANCE]

THE PLEDGE OF ALLEGIANCE >> I PLEDGE ALLEGIANCE TO THE FLAG OF THE UNITED STATES OF AMERICA, AND TO THE REPUBLIC FOR WHICH IT STANDS, ONE NATION UNDER GOD, INDIVISIBLE, WITH LIBERTY AND JUSTICE FOR ALL.

>> THANK YOU, COMMISSIONERS. WE DO HAVE A RATHER LONG AGENDA TONIGHT SO WE'LL SEE WHAT WE CAN DO ABOUT MOVING THROUGH IT AS EXPEDITIOUSLY AS WE CAN.

[2. APPOINTMENT – 4CDC board member]

OUR FIRST AGENDA ITEM AFTER THE PLEDGE IS THE APPOINTMENT OF THE C.R.C.MEMBER TO THE FOUR C.D.C. . MR. DIRECTOR?

>> MR. RONALD CARTER HAS BEEN A WONDERFUL "APPOINTEE, AND I PROPOSE THAT HE CONTINUES TO SERVE IF THE

COMMISSION WILL ALLOW IT. >> THANK YOU, MR. DIRECTOR.

DO WE HAVE A GENTLEMAN, A MOTION, TO THAT, TO THE EFFECT OF REAFFIRMING MR. CARTER?

>> SO MOVED. >> IS THERE A SECOND?

>> SECOND. >> IT HAS BEEN MOVED AND SECONDED ALL IN FAVOR.

MR. CARTER IS REAPPOINTED. WE'LL NOW MOVE ON TO THE

[3. ANNUAL REPORT TO TAXING DISTRICTS]

ANNUAL REPORT TO 9 TACTING DISTRICTS.

HEIDI, TURN IT OVER TO YOU. >> THANK YOU, HEIDI BAKER TILLY, THANK YOU FOR HAVING ME HERE THIS EVENING.

ALL RIGHT. SO THIS IS YOUR ANNUAL MEETING REQUIREMENT THAT YOU HAVE TO HAVE ONCE A YEAR.

ALL OF THE OVERLAPPING TAXING UNITS ARE INVITED.

I DO NOT SEE ANY PRESENT HERE SO I'M GOING TO MOVE THROUGH THIS RATHER QUICKLY. THE SLIDE FORMAT IS WHAT YOU HAVE SEEN IN YEARS PAST. I WAS GOING TO HIT ON WHAT'S NEW AND WHAT CHANGED SINCE LAST YEAR.

WE HAVE UPDATED THE TIF NUMBERS AND SUCH THAT ARE IN THE PRESENTATION, BUT REALLY THERE WERE NO SIGNIFICANT CHANGES BY ANY MEANS IN ANY OF THIS.

SO I'M GOING TO SCOOT ALONG. YOU KNOW HOW ARE, YOU KNOW WHO WE ARE. I'M GOING TO MOVE THROUGH THE BIG TIF AREAS ARE THE SAME.

AWARE OF THE DEVELOPMENT YOU'VE DONE.

SO ON THE BOND SLIDE, THE 2021 BONDS ARE ON HERE THAT WERE ISSUED THROUGH THE CARMEL BOND BANK.

SO THE THAT'S ON HERE. YOU ARE ALL FAMILIAR WITH THAT BECAUSE YOU ARE A PART OF THE PROCESS.

WITH THAT, THE REVENUE DEPOSIT AGREEMENT GOT AMENDED THE 8TH TIME TO ADD IN THE BOND TO BE ABLE TO BE PAID AND THE PRIORITY OF PAYMENTS LISTED OUT IN THE REVENUE DEPOSIT AGREEMENT.

THAT IS THAT. NOTHING WITH THE TIF CHANGED FROM LAST PRESENTATION. BESIDES ADDING IN THE NEW BOND PAYMENT THAT IS OWED ON THE 2021 BONDS, AND THE COVERAGE NOW FOR ALL OF THE BIG TIF AREAS IS 107% COVERAGE WHICH LEAVES YOU ABOUT $2.1 MILLION LEFT OVER AFTER THE PAYMENT OF ALL OF YOUR BONDS.

THERE IS A NOTE FOR THE SPECIAL RESERVE THAT THE CREPT BALANCE IS 6.6 MILLION.

YOU ARE PUTTING $1 MILLION IN EACH YEAR TO BUILD THAT UP. SO THAT YOU CAN MAKE THOSE NAMES 2035-2037. NOTHING CHANGED.

SAME CONCEPT AS YEARS PAST. CHART.

YOU ARE FAMILIAR WITH LOOKS THE SAME BESIDES ADDING IN THE ORANGE WHICH IS THE 2021 BOND PAYMENT.

THEN MOVING TO THE DEVELOPER TIF AREAS ON THIS PARTICULAR SLIDE, YOU WILL SEE WHERE I CHECKED TWO NEW ONES.

THE FIREHOUSE CONDOS PROJECT AND THE SITTURE PROJECT TIF HAPPENED AND THE SPLITS, REPRESENTATIVE SPLITS ARE THERE LISTED THERE FOR YOU. AND THEN AGAIN THE OTHER TIF DEVELOPER TIF AREAS ARE COVERED AND THE SLIDES LIKE THEY HAVE BEEN IN YEARS PAST.

REALLY NONE OF THE TIF, THE ACTUAL COLLECTIONS ARE REPRESENTED ON THE SLIDES. EVERYTHING CAME IN RIGHT AROUND WHERE WE WERE ANTICIPATING IT TO COME IN.

ALL IS WELL WITH ALL OF THESE VARIOUS DEVELOPER TIF AREAS. CAR HEADQUARTERS IS DOING WELL. FRANCIS CAAN.

THE FIRE HOUSE CONDOS AS I MENTIONED IS NEW.

WE'RE NOT EXPECTING TIF UNTIL PAY 5, YOU CAN SEE THAT IN THE FIRST COLUMN OF PAY 25.

WATCHING THAT PROJECT CAM UP OUT OF THE GROUND.

THE SIGNATURE PROJECT WE ARE NOT ANTICIPATING ANY TIF UNTIL PAY 25 AND 26. ALL ESTIMATES AT THIS POINT.

TO MOVE ALONG, THERE'S NO ADDITIONAL PROJECTS ON THIS

[00:05:05]

LIST. BUT THERE IS ON THE CORNER PROJECT GOT ISSUED FINALLY. SO THAT'S GOOD.

100% OF THE TIF WENT TO THAT DEVELOPMENT SO THIS IS NEW FROM LAST YEAR. THE PROSCENIUM ONE BONDS GOT ISSUED AS WELL. THEY'VE BEEN BUSY, THEY'VE BEEN REALLY BUSY. I'M GOING TO KEEP CRUZ -- CRUISING THROUGH HERE. CITY CENTER TWO LOOKS GREAT.

THE PAYOUT PAYMENTS ARE COMING IN AS YOU ARE AWARE TO COVER THOSE PAYMENTS. MIKE HAS THAT ALL UNDER CONTROL. MIDTOWN ALL THE SAME.

PAYOUT PAYMENTS ARE BEING PAID.

BUILD OUT COMING IN AS NEEDED.

HERE THEN ON THE FUTURE DEVELOPMENT SLIDE TWO NEW PROJECTS, HAMILTON CROSSING PROJECT THAT YOU ARE AWARE OF. WE'VE RUN INITIAL NUMBERS, SET UP THE TIF AREA. NO BONDS HAVE BEEN ISSUED YET AND THE PROSCENIUM TWO CONDO PROJECT THAT ONE IS LOOMING AS WELL. BUT NOTHING HAS BEEN DONE AT LEAST ON OUR END FOR THAT YET.

SO THAT'S MY HOPEFULLY 3 MINUTE UPDATE ON YOUR TIF AREAS. SOMEBODY TIME ME?

>> THANK YOU VERY MUCH. >> YOU ARE WELCOME.

>> FIRST -- COMMISSIONERS ANY QUESTIONS?

QUESTIONS? >> COULD WE GET A COPY --

>> MIKE HAS IT. HE IT PROVIDE YOU A P.D.F.OF

IT IF YOU WOULD LIKE. >> THAT WOULD BE PERFECT.

>> YEAH. >> THANK YOU FOR THE

PRESENTATION. >> YOU ARE WELCOME.

>> WE VERY MUCH APPRECIATE IT AND HAPPY HOLIDAYS.

>> HAPPY HOLIDAYS TO YOU, GOOD TO SEE YOU.

>> VERY GOOD. LET'S SEE.

[4. APPROVAL OF MINUTES]

NEXT ITEM ON THE AGENDA IS THE APPROVAL OF MINUTES OF OUR NOVEMBER 17, MEETING. ARE THERE ANY CORRECTION OTHERS ADDITIONS TO THE MINUTES AS THE DRAFTS WERE

PREPARED FOR YOU. >> MOVE TO APPROVE.

>> SECOND. >> MOVED AND SECONDED.

ALL IN FAVOR.

OPPOSED SAME SIGN. MINUTES ARE APPROVED.

[5a. Cash Flow Report]

WE'LL NOW MOVE ON TO THE FINANCIAL MATTERS REPORT.

MIKE LEE, MIKE? >> THANK YOU.

THE COMMISSION'S END OF MONTH BALANCE FOR NOVEMBER WAS 6,137,115. INCLUDING THE RESTRICTED

FUNDS IT WAS 13,695,558. >> SO WE GET OUR TIF ALLOCATION A COUPLE OF DAYS AGO, HOW DID THAT GO

COMPARED TO PROJECTSIONS? >> WELL, WE ACTUALLY RECEIVED ROUGHLY ABOUT 600,000 MORE THAN WE THOUGHT WE WOULD BECAUSE WE ALSO RECEIVED TIF FROM 2020 FALL DISTRIBUTION AS WELL FROM PEOPLE THAT WERE MAKING DELINQUENT PAYMENTS FROM LAST YEAR.

>> THANK YOU, MR. LEE. ANY OTHER QUESTIONS OF MR. LEE ON THE CASH FLOW REPORT?

[5b. Approval of Claims]

IF NOT WE'LL MOVE ON TO THE APPROVAL OF CLAIMS.

ONCE AGAIN MIKE LEE. >> THANK YOU.

YOU HAVE BEFORE YOU TWO SETS OF CLAIMS TONIGHT.

ONE IS FOR THE NONOPERATING EXPENSES IN THE AMOUNT OF 15,654,562 .33. WHICH OF COURSE 15.3 OF THAT IS FOR OUR SEMI ANNUAL DEBT SERVICE PAYMENTS.

AFTER THAT YOU HAVE THE 2021 LITT GEO BONDS IN THE AMOUNT OF 8,348.50. LET ME KNOW IF YOU HAVE ANY

QUESTIONS. >> ANY QUESTIONS FOR MR. LEE REGARDING THE CLAIMS? IF NOT, THE CHAIR WOULD ENTERTAIN A MOTION OF APPROVAL.

>> MOVE TO APPROVE. THANK YOU.

>> SECOND. >> IS THERE A SECOND, MOVED AND SECONDED. VERY GOOD.

ALL IN FAVOR PLEASE SAY AYE.

OPPOSED, IT IS APPROVED, THANK YOU VERY MUCH.

[6. EXECUTIVE DIRECTOR REPORT]

WITH THAT WE'LL MOVE ON TO THE EXECUTIVE DIRECTOR'S REPORT. AND MR. .

>> THERE IS CONSTRUCTION AROUND THE CITY OF CARMEL.

YOU CAN SEE FENCE, CONSTRUCTION FENCES UP AT THE FOLLOWING SITES. THE CORNER AT 116TH AND RANGE LYNN, FIRST ON MAIN AT MAIN AND RANGE LION.

MAGNOLIA AT 126 AND RANGELINE.

THE SIGNATURE PROJECT AT MAIN AND OLD MERIDIAN, AND IN CITY CENTER, FOR THEREN AND WINDSOR BUILDING AND SOUTH OF THAT AT THE MILLAGE PROJECT, WE'VE, UTILITIES HAS, WE'VE ALREADY STARTED MOVING UTILITIES FOR THE CIVIC SQUARE GARAGE SO IS THERE CONSTRUCTION GOING ON EVERY WHERE. IT'S A WONDERFUL TIME FOR COR MEHL REDEVELOPMENT AND THAT CONCLUSION MY REPORT.

I'M HAPPY TO ANSWER ANY QUESTIONS.

>> ANY QUESTIONS FOR THE DIRECTOR WITH REGARD TO HIS

[00:10:06]

REPORT? SEEING NONE, WE'LL MOVE ON

[7a. Finance Committee]

TO COMMITTEE REPORTS. WE'LL BEGIN WITH THE FINANCE COMMITTEE. COMMISSIONER BOWERS.

>> WE DID MEET AND REALLY DISCUSS THE REVISIONS TO THE 21 BUDGET AS WELL AS LOOKING AT THE DRAFT OF THE 22 BUDGETS WHICH REALLY GOING TO BE DISCUSSED LATER.

SO NO SENSE IN GOING THROUGH IT AGAIN NOW.

>> OKAY. THANK YOU, COMMISSIONER, ANY QUESTIONS OF THE FINANCE COMMITTE.

ALTHOUGH WE'LL BE DISCUSSING THE BUDGET IN A MINUTE BUT IF NOT, WE'LL MOVE ON TO THE ARCHITECTURAL REVIEW COMMITTEE. WE DID.

>> WE DID NOT MEET THIS MONTH.

[9a. Action Item #1 – Resolution 2021-26 re: Declaratory Resolution for Studio M allocation area expansion]

>> OKAY. VERY GOOD.

WE'LL NOW MOVE ON TO OLD BUSINESS.

AND IS THERE ANY OLD BUSINESS TO COME BEFORE US

THIS EVENING, MR. DIRECTOR. >> THERE'S NOT.

WE GOT ALL BUSINESS HANDLED AT THE MEETINGS THEY WERE'

SUPPOSED TO BE HANDLED AT. >> THANK YOU.

WE'LL MOVE ON TO NEW BUSINESS.

OUR FIRST ACTION ITEM IS A RESOLUTION 2021-26 WHICH IS THE $TORE RESOLUTION FOR CONSTITUTEIO M. ALLOCATION AREA. OBVIOUSLY THIS IS THE FIRST STEP IN THE APPROVAL PROCESS AFTER THIS IT WOULD GO TO THE PLANNING COMMISSION THEN TO THE CITY COUNCIL AND THEN BACK HERE FOR PUBLIC HEARING AND THEN A FINAL VOTE.

SO MR. DIRECTOR, ANY -- SORRY, MR. LEE, EXCUSE ME,

GO AHEAD. >> SO YOU CAN SEE THE SITE HERE WHERE THAT IS GOING TO BE LOCATED IS JUST EAST OF THE KAT THEATER AND JUST WEST OF THE INDIAN DESIGN CENTER PARKING LOT. THESE TWO BARS ELS ARE GOING TO BE THE FUTURE SITE OF AN OFFICE BUILDING, A SINGLE-USE SITE WITH ONE OR TWO TENANTS IN IT.

SO AS YOU SAID EARLIER, THIS IS THE FIRST STEP IN CREATING THIS. THEN WE'LL GO TO THE PLANNING COMMISSION, CITY COUNCIL AND BACK TO US

AGAIN. >> ANY QUESTIONS FOR MR. LEE REGARDING THIS DECLARATORY, SEEING NONE THE CHAIR WOULD ENTERTAIN A MOTION OF APPROVAL FOR THE FIRST

ACTION ITEM. >> MOTION TO APPROVE RESOLUTION 120-AMENDING THE DECLARATORY AND RESOLUTION

PLAN. >> IS THERE A SECOND.

>> SECOND. >> ONE POINT.

>> GO AHEAD. >> RESOLUTION 2021-26.

>> 2021-26. YEAH.

I MISSED THAT. >> EXCUSE ME.

SO WITH THAT THANK YOU, COMMISSIONER, WE'LL MOVE FORWARD AND I'M ASK FOR A VOTE AT THIS POINT.

ALL IN FAVOR PLEASE SAY AYE.

OPPOSED SAME SIGN. IT IS APPROVED.

THANK YOU VERY MUCH. WE'LL MOVE ON TO ACTION ITEM

[9b. Action Item #2 – Resolution 2021-27 re: Declaratory Resolution for Monon Square North allocation area]

NUMBER 2, WHICH IS RESOLUTION 2021-27 WHICH IS AN AMENDMENT TO THE DECLARER TO RESOLUTION FOR MONON SQUARE NORTH ALLOCATION AREA.

MR. LEE? >> THANK YOU, AGAIN THIS IS THE FIRST STEP IN CREATING THIS ALLOCATION AREA.

WE RECENTLY ABOUT LAST YEAR WE PUT THIS AREA INTO THE ACTUAL REDEVELOPMENT AREA INSTEAD OF AN E.D.A.IT'S AN R.D.AWE A.NOW WE'RE CREATING THE FIRST ALLOCATION HERE IN MONON SQUARE WHICH IS AT THE NORTHWEST CORNER OF RAININGLINE AND 126TH STREET.

SO THE FIRST STEP IS TO DO THE NORTHERN PORTION OF THE SITE. YOU CAN SEAT FOUR PARCELS WHAT WE'RE GOING TO INCLUDE. WE DON'T HAVE THE EXACT PARAMETERS BUT IT'LL ENTAIL OFFICE USE, MIX, IT'LL HAVE MULTIFAMILY. PARKING COMPONENT AND MOST LIKELY RETAIL AS WELL. STILL TRYING TO FIGURE OUT THE DETAILS HOW IT FITS BUT THIS IS THE LAYOUT FOR THE

NORTHERN HALF OF THE SITE. >> THANK YOU, MR. LEE.

ANY QUESTIONS OF MIKE, COMMISSIONER?

>> MR. LEE, JUST OUT OF CURIOSITY, THAT NORTHEAST CORNER UP THERE, ALONG WEST WUHL NEAT STREET, WHAT IS THE -- WALNUT. WHAT IS THE PARCEL UP THERE.

>> NORTH -- >> THERE?

>> ORIGINALLY THAT WAS A PARCEL THAT WAS RECTANGLE.

>> TALK ABOUT THAT, YEAH, THE UNCOLORED AREA THERE.

>> THIS RIGHT HERE? >> YES.

>> THIS IS ACTUALLY RIGHT AWAY.

THIS IS A STREET NOW. THIS IS WALNUT STREET THAT

GOES THROUGH HERE. >> OKAY.

>> YES. >> GOT YOU.

>> THERE'S THE OVERALL MAP THAT WAS JUST NOT UPDATED.

>> OKAY. >> OTHERS -- OTHER QUESTIONS, SEEING NONE IF IT'S YOUR PLEASURE,

[00:15:03]

GENTLEMEN, CHAIR WILL ENTERTAIN A MOTION OF

APPROVAL. >> SO MOVED.

>> COMMISSIONER. >> SECOND.

>> BEEN MOVED AND SECONDED. ALL IN FAVOR PLEASE SAY AYE.

IT IS APPROVED. VERY GOOD.

[9c. Action Item #3 – Approval of Revised 2021 Budget]

WE'LL MOVE ON TO ACTION ITEM NUMBER 3.

WHICH IS APPROVAL OF THE CARMEL REDEVELOPMENT COMMISSION REVISED 2021--- WELL 2021 BUDGET.

ONCE AGAIN MR. LEE. >> WAITING TO SEE IF THIS COMES BACK UP AGAIN. OKAY.

SO WE DO THIS EVERY YEAR BASICALLY TO MAKE SURE THAT ALL OF OUR LINE ITEMS WE DON'T GO OVER ON THE EXPENDITURE SIDE. WE TRY TO GET EVERYTHING AS CLOSE AS WE KNOW IT IS AT THAT POINT.

AND IN THE END WE TRADE BETWEEN DIFFERENT LINE ITEMS TO MAKE SURE WE DON'T GO OVER AND THIS YEAR AT THE END YOU WILL SEE WE HAVE A HIGHER ENDING BALANCE THAN WE HAD PROJECTED. I CAN GO OVER SOME OF THE HIGHLIGHT REAL QUICK. SO WE RECEIVED MORE TIF THAN WE THOUGHT WE WERE GOING TO. BUT ON THE OTHER SIDE WE PAID A LITTLE MORE DEBT SERVICE BECAUSE WE HAVE THE 2021 TIF BONDS WHICH BACK IN DECEMBER OF LAST YEAR WHEN WE APPROVED THE BUDGET WE DIDN'T KNOW THE BONDS EXISTED YET. THEN WE ALSO PAID OFF THE C.M.C.D.C. MONEYON SQUARE MORTGAGE AS WELL.

-- MONON SQUARE MORTGAGE AS WELL.

DUE TO A LOT OF BOND CLOSINGS THIS YEAR WE RECEIVED A LOT OF REIMBURSEMENTS FROM BONDS.

THAT'S WHY YOU SEE THE BIG CHANGE IN THE MISCELLANEOUS RECEIPTS BETWEEN THE 578 AND THE 3.4 MILLION.

THEN DOWN IN EXPENDITURES, EVERYTHING HERE IS PRETTY MUCH WHERE IT ENDED UP AT FOR ALL OF THE PROFESSIONAL FEES, AND THEN CAPITAL IMPROVEMENT PROJECTS BEFORE WE HAD KIND OF A GENERAL PLACE HOLDER FOR WHAT WE THOUGHT WE MAY NEED THIS YEAR.

THEN ENDED UP WE DIDN'T NEED NEARLY THAT MUCH.

SO WE ONLY SPENT 1.7 OF THAT INSTEAD OF THE 5.7 WHICH IS THE MAIN REASON WHY OUR ENDING BALANCE IS SO MUCH HIGHER. THAT PRETTY MUCH COVERS IT.

ARE THERE ANY QUESTIONS ON THE REVISION TO THIS BUDGET

THIS YEAR? >> THANK YOU, MR. LEE.

INPUT FROM THE FINANCE COMMITTEE?

>> NO REAL INPUT. MIKE DOES A GREAT JOB STAYING ON TOP OF THIS. THIS IS WHAT WE'VE DONE EVERY YEAR FOR THE LAST TEN YEARS THAT I'VE BEEN INVOLVED WITH THAT. IT'S JUST TRUEING IT UP ADJUSTING WHERE WE NEED TO BUT NOT INCREASING THE

OVERALL BUDGET. >> THANK YOU.

ANY OTHER QUESTIONS OF MR. LEE AT THIS POINT? SEEING NONE A CHAIR WOULD ENTERTAIN A MOTION OF

APPROVAL. >> MOVE TO APPROVE.

>> THANK YOU. >> I'LL SECOND.

>> MOVED AND SECONDED. ALL IN FAVOR PLEASE SAY AYE.

IT IS APPROVED. THANK YOU VERY MUCH,

[9d. Action Item #4 – Approval of 2022 Budget]

MR. LEE. WE'LL NOW MOVE ONCE AGAIN TO MR. LEE BUT THIS IS APPROVAL OF THE CARMEL REDEVELOPMENT COMMISSION CARR'S 2022 BUDGET.

ONCE AGAIN MR. LEE. >> THANK YOU.

YOU CAN SEE HERE WE'RE STARTING WITH THE SAME BALANCE WE SHOW AS ENDING BALANCE OF THE 2021 REVISED BUDGET, THE TIF IS BASED OFF THE BIGGER AND WE INCLUDE THE PAYOUT PAYMENTS WE EXPECT TO RECEIVE AS WELL FOR THE NEXT YEAR. HERE YOU CAN SEE TRANSFERS TO RESERVES WHICH IS REQUIRED UNDER THE REVENUE DEPOSIT AGREEMENT WITH THE CITY COUNCIL.

THAT'S THE 1 MILLION DOLLAR PLUS THE MONEY WE GET FROM ZOE TECK BECAUSE WE HAVE TO REPLENISH THAT THAT WE USED TO PAY FOR THE ROUND ABOUT. AFTER THAT SECTION WE HAVE THE DEBT SERVICE SIMILAR TO THE PAST YEAR, DIFFERENCES IN THE AMOUNT FOR EACH OF THE BONDS.

WE GO TO OUR RECEIPTS NOT REMITTED TO TIF, THESE ARE PRETTY STANDARD THAT WE HAVE EVERY YEAR.

THEN OUR PROFESSIONAL FEES AGAIN FAIRLY STANDARD.

WE WENT DOWN A LITTLE BIT IN LEGAL FEES.

ACCOUNTING FEES ABOUT THE SAME, SAME WITH MISCELLANEOUS PROFESSIONAL FEES.

CAPITAL IMPROVEMENT FEE, WE DON'T KNOW WHAT WE HAVE THERE BUT WE WANT TO MAKE SURE WE'RE COVER AND WE DON'T GO OVER AHEAD OF TIME AND HAVE TO MAKE A BIGGED A JUST AT THE END OF 2022 THEN THE REIMBURSEMENT THERE IN MISCELLANEOUS EXPENDITURES ARE FAIRLY SIMILAR.

WITH OUR YEAR END BALANCE A LITTLE OVER $1 MILLION.

OVER AT LEAST $500,000 PER YEAR.

SO LET ME KNOW IF YOU HAVE ANY QUESTIONS.

>> VERY GOOD. THANK YOU, MR. LEE.

QUESTIONS OF MR. LEE REGARDING THE 2022 BUDGET?

[00:20:05]

INPUT FROM THE FINANCE COMMITTEE.

>> AGAIN, IT'S SOMETHING WE DISCUSS EVERY YEAR AND WE TRY TO LEAVE SOMEWHERE BETWEEN THE 500 OR A MILLION AT THE END OF THE YEAR. THE PLACEHOLDER LIKE MIKE SAID CAPITAL IMPROVEMENTS IT'S REAL FE WE'RE SEEING NEEDS ELSEWHERE WITHIN THE BUDGET, THAT'S SOMETHING WE CAN PARE DOWN THEN AS PROJECTS COME ALONG AND STAFF BRING DIFFERENT PROJECTS IN WE CAN LOOK AT THAT. WE DO HAVE A LITTLE BIT OF BUFFER BUT I THINK THE IMPORTANT THING IS THAT YOU LOOK AT THE END OF THE YEAR AND THE RESERVES THAT WE HAVE ARE SUFFICIENT LOOKING FORWARD.

IF NEEDED FOR BOND PAYMENTS IN THE DISTANT FUTURE.

>> THANK YOU, COMMISSIONER. ANY OTHER QUESTIONS OR COMMENTS? SEEING NONE IF IT'S YOUR PLEASURE, GENTLEMEN, THE CHAIR WOULD ENTERTAIN A

MOTION OF APPROVAL. >> MOVE TO APPROVE.

>> SECOND. >> IS THERE A SECOND.

>> SECOND. >> THANK YOU, COMMISSIONER, IT HAS BEEN MOVED AND SECONDED ALL IN FAVOR SAY AYE.

OPPOSED SAME SIGN. THE 2022 BUDGET IS APPROVED.

THANK YOU VERY MUCH. WE'RE NOW MOVING ON TO OUR

AND IT IS A PURCHASE OF THAT PROPERTY FOR $1,000. AND IT WILL BE, WE'LL CONTINUE WORK ON THE PROJECT INTO NEXT YEAR.

>> THANK YOU, MR. DIRECTOR. QUESTIONS OF THE DIRECTOR REGARDING ACTION ITEM NUMBER 5?

[9f. Action Item #6 – Purchase of 210 3rd Ave SW]

WE'LL MOVE ON TO ACTION ITEM NUMBER 6 WHICH IS APPROVAL OF THE PURCHASE OF 210 THIRD AVENUE SOUTHWEST.

AGAIN MR. DIRECTOR THIS IS A VERY SIMILAR TO THE PREVIOUS ACTION ITEM, THE REDEVELOPMENT COMMISSION IS WORKING ON A PROJECT AT 210 THIRD AVENUE SOUTHWEST.

WITH A DEVELOPER AND AS PART OF THAT OVERALL PROJECT, THIS IS A TRANSACTION THAT IS CONTEMPLATED THEREBY.

WE'LL CONTINUE WORKING THE PROJECT INTO THE NEXT YEAR.

>> THANK YOU, QUESTIONS OF THE DIRECTOR REGARDING THIS ACTION ITEM? IF NOT IF IT'S YOUR PLEASURE THE CHAIR WILL ENTERTAIN A MOTION OF APPROVAL.

>> MOVE TO APPROVE. >> THANK YOU, COMMISSIONER

BROOKS. >> SECOND.

>> THANK YOU, COMMISSIONER CAMPAGNA.

SO IT HAS BEEN MOVED AND SECONDED.

ALL IN FAVOR PLEASE SAY AYE.

>> OPPOSED SAME SIGN. IT IS APPROVED.

WE'LL NOW MOVE ON TO ACTION ITEM NUMBER 7.

>> MR. PRESIDENT. >> YES.

>> IF I COULD REQUEST THIS COMMISSION'S APPROVAL TO SKIP THIS ACTION ITEM UNTIL A GUEST SHOWS UP.

THIS MEETING HAS GONE QUICKER THAN I THOUGHT IT WOULD BE THAT IT WOULD. IF WE CAN HOLD OFF ON THIS AND SKIP IT UNTIL WE HAVE A SPEAKER THAT IS PRESENT.

>> OKAY: WOULD YOU LIKE THIS TABLED UNTIL OUR NEXT

MEETING? >> I WOULD LIKE IT TABLED

UNTIL LATER ON THIS EVENING. >> TILL THE SPEAKER SHOWS

UP. >> ALL RIGHT.

>> IT HAS BEEN MOVED TO TABLE.

IS FROM A SECOND. >> SECOND.

>> THANK YOU, WE HAVE A PROPOSAL TO PERFORM CONSTRUCTION MATERIAL TESTING ON THE CIVIC SQUARE GARAGE. I WOULD ASK YOU TO APPROVE THIS CONTRACT SO THAT WE CAN HAVE A EVERYTHING TESTED THROUGHOUT THE CONSTRUCTION PROCESS.

>> VERY GOOD. THANK YOU, IS, ARE THERE QUESTIONS OF MS. FAIRMEN REGARDING THE PROPOSED CONTRACT WITH PATRIOT ENGINEERING? SEEING NONE IF IT'S YOUR PLEASURE, THE CHAIR WILL ENTERTAIN A MOTION OF APPROVAL.

>> APPROVAL OF THE CONTRACT WITH PATRIOT ENGINEERING FOR

[00:25:04]

CONSTRUCTION MATERIALS, TESTING INSPECTION FOR CIVIC SQUARE GARAGE IN THE AMOUNT OF $51,400.

>> THANK YOU. >> PAYABLE FROM 120.

>> SECOND. >> IT HAS BEEN MOVED AND SECONDED. ALL IN FAVOR PLEASE SAY AYE.

IT IS APPROVED. THANK YOU VERY MUCH.

[9i. Action Item #9 – Contract for Palladium book manuscript]

WE'LL NOW MOVE ON TO ACTION ITEM NUMBER 9.

WHICH WOULD BE A APPROVAL OF A CONTRACT WITH INTEGRITY MEDIA FOR THE CREATION OF A BOOK ABOUT THE PALLADIUM PROJECT. MR. DIRECTOR.

>> THANK YOU, MR. PRESIDENT. THIS CONTRACT IS TO RETAIN A WRITER TO CREATE A BOOK OUTLINING THE CREATION OF OUR CROWN JEWEL OF OUR CENTRAL CORE WHICH IS THE PALLADIUM. INTEGRITY MEDIA HAS DONE SEVERAL OF THESE IN THE PAST.

THEY KNOW WHAT THEY'RE DOING.

THEY'RE PROFESSIONALS AT CREATING THESE TYPES OF BOOKS. THEY MOST RECENTLY DID ONE CALLED THE SMITH CENTER FOR THE PERFORMING ARTS.

WE BELIEVE THIS IS THE RIGHT CHOICE TO HANDLE THIS PROJECT SO REQUEST TO RETAIN INTEGRITY MEDIA TO PRODUCE

THIS BOOK. >> THANK YOU, MR. DIRECTOR, QUESTIONS OF THE DIRECTOR REGARDING THIS ACTION ITEM?

>> MR. METES CAN I, THE -- METESKY, THE FEE I SEE IS WHAT WE'RE APPROVING AND NOT THE ACTUAL PUBLICATION, THE ACTUAL PRODUCTION OF THE BOOKS?

>> THAT IS CORRECT. >> OKAY.

OTHER QUESTIONS OF THE DIRECTOR?

>> I'LL JUST SHOW AS JUST AS AN EXAMPLE, THIS IS THE SMITH CENTER FOR THE PERFORMING ARTS SO IT'S BASICALLY A BOOK THAT CATALOGS THE CONSTRUCTION, THE, EVERYTHING THAT WENT INTO BUILDING SUCH A BEAUTIFUL CENTER, PERFORMANCE HALL.

ALSO DECLINED BY SCHWARTZ ARCTIC BY THE -- ARCHAETEXT BY THE WAY SO THERE ARE SOME SIMILARITIES THERE BUT YOU CAN TELL IT'S BEAUTIFUL PICTURES, I DON'T KNOW WHAT IS HAPPENING THERE. BUT IT'S A, THIS IS THE KIND OF BOOK THAT YOU SHOULD EXPECT TO SEE ON THE COFFEE TABLE OF EVERY CARMEL RESIDENT ONE DAY.

>> THANK YOU VERY MUCH. I WOULD, I HAVE A QUESTION OF OUR LEARNED COUNSEL DOWN THERE.

I'M NOT SURE WHICH OF YOU WOULD BE APPROPRIATE TO ANSWER BUT I ASSUME THAT FOR THE PRODUCTION OF THE BOOK, THAT WE'RE, WE HAVE THE RIGHTS TO THE PHOTOGRAPHS AND THE OTHER THINGS THAT WOULD BE USED.

>> YES. >> THEREIN.

>> YES. >> WE'RE NOT HAVING TO PAY

ROYALTIES OR WHATEVER. >> THAT IS CORRECT.

>> THANK YOU. >> OUT OF CURIOSITY WHAT IS THE FIRST ORDER FOR? HOW MANY HAVE WE FIGURED

THAT OUT? >> SAY THAT AGAIN?

>> THE NUMBER OF BOOKS ON THE FIRST ORDER OF THEM?

>> WE'RE STILL WORKING THROUGH THAT.

>> OTHER QUESTIONS? IF NOT THE CHAIR WOULD ENTERTAIN A MOTION OF APPROVAL IF THAT IS YOUR

WISHES, GENTLEMEN? >> MOVE TO APPROVE.

>> THANK YOU. IS THERE A SECOND?

>> SECOND. >> BEEN MOVED AND SECONDED.

AWLS IN FAVOR PLEASE SAY AYE.

SO NOW WE'LL MOVE ON TO ACTION ITEM NUMBER 10 WHICH

[9j. Action Item #10 – Contract for sculpture]

IS APPROVAL OF A CONTRACT FOR A SCRIPTTURE WHICH -- IT LOOKS LIKE MR. DIRECTOR -- SCULPTURE --

>> OKAY. WE HAVE THE, THE CITY HAS HAD ONARE ONLOAN THIS JAZZ TRIO SCULPTURE BY SKEWERED JOHNSON. IT HAS BECOME A BELOVED STAPLE OF OUR COMMUNITY. YOU CAN SEE EVERY SATURDAY MORNING WHEN YOU ARE VISITING THE FARMERS MARKET AND ANY OTHER TIME THAT YOU FIND YOURSELF ON THE CENTER FOR THE PERFORMING ARTS CAMPUS, THE MAYOR HAS NEGOTIATED A DEAL TO GET THESE HALF PRICE.

SO THE CITY IS, THE REQUEST OF THE COMMISSION IS TO PURCHASE THESE THREE ITEMS FOR $92,000 EACH.

AT A TOTAL COST OF $276. OK.

WHICH IS HALF PRICE COMPARED TO WHAT THESE STATUES

[00:30:05]

USUALLY RUN FOR. IF THEY'RE NOT PERFORMED THEY'LL SORELY BE MISSED. SO THAT IS THE REQUEST.

>> THANK YOU, MR. DIRECTOR. QUESTIONS OF THE DIRECTOR REGARDING THE PURCHASE OF THIS SCULPTURE? I KNOW IT'S A FAIRLY POPULAR ONE BECAUSE I KEEP SEEING PEOPLE OUT THERE TAKING THEIR PICTURES BY THE TRIO.

I KNOW IT'S, PEOPLE SEEM TO ENJOY IT.

ANY OTHER QUESTIONS OF THE DIRECTOR? SEEING NONE, IF IT'S YOUR PLEASURE -- EXCUSE ME,

COMMISSIONER BROOKS. >> DID WE SEE THESE FUNDS PROJECTED IN THE 2022 BUDGET? I DIDN'T REMEMBER SEEING THAT.

>> YES, THESE WILL BE PART OF THE CAPITAL.

>> CAPITAL IMPROVEMENT. >> OKAY.

>> . >> THANK YOU.

>> ANY OTHER QUESTIONS AT THIS POINT.

IF IT'S YOUR PLEASURE THE CHAIR WOULD ENTERTAIN A

MOTION OF APPROVAL. >> MOVE TO APPROVE.

ACTION ITEM NUMBER -- >> MR. PRESIDENT, DO YOU WANT TO GET BACK TO THE ITEM WE PREVIOUSLY TABLED IF THE

COMMISSION WOULD -- >> OKAY.

EXCELLENT. WITH THE PERMISSION OF THE COMMISSION WE'D LIKE TO TAKE UP ACTION ITEM NUMBER 7.

IS THERE ANY OBSERVATION AT THIS POINT THAT WE TABLED

[9g. Action Item #7 – Contract for 96th Street sculptures]

EARLIER? OKAY.

SEEING NONE WE'LL NOW MOVE TO ACTION ITEM 7.

MR. DIRECTOR. [PAUSE]

>> I PRESENT TO YOU INTERNATIONALLY RENOWNED ARTIST ARTICLELAND BAYLISS WHO HAS DONE MY FAVORITE PIECE OF WORK IN THE CITY. AS HE SEVERAL.

TAKE IT AWAY. >> THANK YOU.

THANK YOU ALL FOR THE OPPORTUNITY TO PRESENT PERSONALLY THESE FOUR EXCITING NEW ARTWORKS.

AS SOME OF YOU KNOW, I'VE BEEN RESPONSIBLE FOR THREE MAJOR ARTWORKS AND ROUND ABOUTS IN THE CITY OF CARMEL. I WORK HARD IN HAND WITH BOW MAR INDUSTRIES BEACH GROVE. WE'VE WORKED TOGETHER FOR OVER 7 YEARS. AND THEY ARE A FABRICATOR AND INSTALLER. THEY'RE WONDERFULLY SKILLED AND EXPERIENCED AND THEY HAVE A, THE KIND OF ATTENTION TO DETAIL AND CREATIVE PROBLEM SOLVING THAT I REALLY NEED FOR THIS TIND OF WORK.

BECAUSE WE'VE WORKED TOGETHER FOR THE LAST SEVEN YEARS WE DEVELOPED A VERY GOOD WORKING ROIL.

I WORK WITH -- RELATIONSHIP. I WORK WITH THEM AT THE IDEATION AND THE CONCEPT OF THE IDEA.

ALL OF THESE IDEAS HAVE BEEN THOROUGHLY DEVELOPMENTED WITH THEM. -- VETTED WITH THEM.

THEY'RE IDEAS WE KNOW ARE POSSIBLE.

I ALSO WORK WITH THEM IN THE PRODUCTION AND IN THE INSTALLATION STAGES. THE CONCEPT FOR THIS PROJECT, THIS IS OVER A YEAR AGO WHEN WE FIRST THOUGHT OF THIS, BUT AFTER CONSIDERING LOTS OF OTHER CONCEPTS FOR ROUND ABOUTS ON 96TH STREET, IT WAS DECIDE THAT HAD CLASSIC CARS OF INDIANA WAS A REALLY SOLID CONCEPT BECAUSE IT WILL ALLOW US TO MAKE WORK THAT'S GOING TO BE RELEVANT, NOT JUST NOW BUT IN 50 YEARS FROM NOW.

THAT KIND OF WORK THAT PEOPLE WOULD APPRECIATE.

I ALSO THOUGHT IT WAS VERY IMPORTANT TO MAKE WORK WHICH PEOPLE COULD APPRECIATE EVEN IF THEY'RE NOT INTERESTED IN CARS. SOME OF YOU KNOW THAT INDIANA HAS AN INCREDIBLE TRADITION OF CLASSIC CARS.

THERE ARE CARS CALLED TRUE CLASSICS WHICH ARE THE CREAM OF THE CREAM. THESE CARS ARE DUESENBERGS,

[00:35:03]

STUDEBAKER, YOU A BURNS AND CORDS, EXTREMELY WELL KNOWN BECAUSE NOT JUST BECAUSE OF THEIR POWER AND THEIR BEAUTY BUT ALSO BECAUSE OF THE INNOVATION.

IT GAVE ME A CHANCE AS AN ARTIST TO CELEBRATE THE INNOVATION OF THOSE CARS WITH SYMBOLS AND SOME OF THE THEMES FOR THE ROUND ABOUTS SO IT HAS BEEN A TRICKY PROCESS DECLINING REASONABLE DOUBT BOSTON ARTWORK THAT IS APPEALING TO PEOPLE THAT DON'T NECESSARILY HAVE A LOVE FOR CARS BUT ALSO QUITE CLEARLY CELEBRATES THIS VERY IMPORTANT THEME. THE FIRST ROUND ABOUT I WANT TO SHOW YOU IS CELEBRATING MARMONN CARS.

MOST OF YOU KNOW THAT THE FIRST CAR THAT WON THE FIRST INDY 50 WAS A MARCH MOAN. IT'S THE -- MARMONN.

IT'S A WASP. IT'S WASP SHAPED.

IT'S IMPORTANT NOT JUST BOUGHT IT WON THE FIRST INDY 500 BUT THERE WERE INNOVATIONS DEMONSTRATED IN THE CAR. I'M NOT GOING TO BORE YOU BUT ONE WAS THE FIRST USE OF A REAR VIEW MIRROR, THAT CAR IS CELEBRATED ON TWO U.S. NATIONAL STAMPS.

I WANT TO DO AN ARTWORK WHICH SLOPED THE CAR FORWARD IN A RACING POSITION IT LOOKS LIKE IT'S GOING VERY FAST. IT WILL BE OPEN WORK.

YOU CAN SEE SOME SKETCHES HERE THAT WE'VE ALREADY BEGUN DESIGNING THINKING ABOUT WHAT THAT MIGHT LOOK LIKE. WE ALSO HAVE A CHANCE TO USE BRICKS ON THE BASE FOR THE SCULPTURE.

THESE BRICKS I'M TOLD WE MIGHT BE ABLE TO PRECURE SOME BRICKS FROM THE BRICK-YARD WHICH WOULD BE WONDERFUL AND I'VE MET WITH THE FOLKS AT THE BRICK-YARD AS I'VE BEEN THINKING ABOUT THIS AND THEY'RE VERY EXCITED ABOUT THIS PROJECT. AT THE MUSEUM, THE I.M.S.MUSEUM. LET'S SHOW YOU THE NEXT ONE.

THE NEXT ROUND ABOUT IS, THIS WAS A PRIORITY.

AND 96 AND PRIORITY. THE NEXT ONE IS AT DELEGATES. I'VE DELIBERATELY MADE SOME LOWER AND SOME TALLER SO AS PEOPLE ENJOY LOOKING AT THESE ARTWORKS, THEY WILL, THEY WON'T ALL BE THE SAME HEIGHT. IT'S ALSO IMPORTANT TO ME THAT THEY ARE IN A CERTAIN ORDER BECAUSE I THINK ABOUT HOW PEOPLE WILL NEGOTIATE THEM AS THEY SEE THEM.

THIS ONE IS RATHER TALL ABOUT 36-38 FEET TALL.

IT WILL BE VISIBLE FROM KEYSTONE AS YOU CROSS 96TH STREET ON KEYSTONE YOU WILL BE ABLE TO LOOK WEST.

LOOK EAST, THIS IS ON THE WEST END.

YOU WOULD LOOK EAST AND SEE THIS CLEARLY FROM KEYSTONE.

THIS WAS THE TRICKIEST OF ALL THE SCULPTURES.

IT CELEBRATES AUBURN CORD AND DUESENBURG.

THE REASON IT CELEBRATES 3 CAR MAKERS IS BECAUSE CORD, E. CORD, AN ENTREPRENEUR AT THE TIME RAN ALL THREE COMPANIES.

IN FACT THEY ALL CLOSED AT THE SAME TIME IN 1929.

THERE WERE HUGE INNOVATIONS ON THESE CARS.

SUCH THINGS AS FRONT WHEEL DRIVE, POP UP HEADLIGHTS.

THE USE OF A HORN ON A STEERING WHEEL.

THE LIST GOES ON. I WANTED AN ARTWORK WHICH CELEBRATES SOME OF THE FEATURES.

THERE ARE THREE COMPONENTS IN THE BASE OF THIS.

THERE ARE THREE LEGS OR THREE STALKS THAT MOVE UPWARDS. ON EACH OF THE THREE STALKS ARE SILHOUETTES OF THE CARS, AUBURN, CORD AND DUESENBERG AND THERE WAS A DESIGNER WHO DESIGNED CARS FOR ALL THREE COMPANIES. I'VE USED SOME OF HIS DESIGNS WHICH ARE FRANKLY VERY BEAUTIFUL.

I'M USING SOME OF THOSE SHAPES DEPICTING THEM IN AN ARTISTIC WAY FOR THIS SCULPTURE.

AT THE TOP THERE IS A STAR OF ACHIEVERMENT.

IT'S BID ON THE BOAT TAIL SHAPE SOME OF THE CARS HAD, AND IT HAS STEERING WHEELS, COGS, ENGINE PARTS, DEPICTED IN AN AN ARTISTIC WAY THAT WILL CATCH THE LIGHT AND THIS WILL BE LIT UP RATHER LIKE BEACON BLOOM THE FIRST SCULPTURE THAT DIFOR THE CITY OF CARMEL IN BRIGHT RAINBOW COLORED LIGHTS. IT'LL LOOK LIKE A FIREWORK FROZEN IN TIME. NEXT, PLEASE.

AT GRAY ROAD, A SMALLER ROUND ABOUT, SLIGHTLY QUIETER AREA. A LOWER ARTWORK.

AGAIN YOU CAN SEE THEY ARE ALL VERY DIFFERENT.

ONE TO THE OTHER. I DIDN'T WANT TO MAKE THINGS THAT WERE RIFFING ON A THEME.

I DIDN'T WANT TO MAKE ONE OBJECT THAN A SLIGHT VARIATION ONE TO ANOTHER. I THINK IT'S IMPORTANT THEY SHOULD LOOK VERY DIFFERENT TO EACH OTHER.

THIS ARTWORK IS BASED ON THE HOOD ORNAMENT FROM THE STOTS CAR. PRODUCED IN THE 19, WELL 19 10S TO 1920S, YOU MIGHT KNOW THAT ART DECO WAS A BIG DEAL AROUND THAT TIME AND IT WAS INFLUENCED BY THE TOMBS THAT WERE OPENED IN EGYPT AND EGYPTIAN ARTWORK FOUND ITS

[00:40:02]

WAY INTO MUSEUMS AROUND THE WORLD.

IT INFLUENCED LOTS OF ARTISTS AND DESIGNERS WHICH BECAME WHEN WE CALL ART DECO.

THIS IS A VERY FAMOUS HOOD ORNAMENT.

IT SEEMED APPROPRIATE FOR ME TO CELEBRATE THE STUTZ CARS WITH THIS HOOD ORNAMENT. I'M GOING TO DEPICT IT AS A SLICED FORM SO THAT THERE ARE VERTICAL SLICES OF METAL AND LIGHT WILL POUR INSIDE OF THOSE.

SO THAT THE SLOTS CAN BE LIT INDIVIDUALLY AND LOOK QUITE SPECTACULAR AT NIGHT. ABOUT 20 FEET WIND 15 FEET HIGH. ALL OF THESE ARE LIFTED ON TO THE AT LEAST A 10 FOOT BASE.

THE BASE -- I'M SORRY, 5 FOOT BASE IT'S IMPORTANT BECAUSE WE WANT TO LIFT THE ARTWORK AWAY FROM HARM'S WAY. THERE IS OFTEN AS THERE IS HERE AT THE CENTER FOR THE PERFORMING ARTS, WE HAVE CONGRESS CREATE THEN WE HAVE INDIANA LIMESTONE THEN WE HAVE THE ARTWORK IN CASE A CAR WOULD EVER HIT THE ROUND ABOUT IT'S NOT GOING TO HIT PRECIOUS INDIANA LIMESTONE.

WE THINK ABOUT THAT. THE SIGNAGE THAT YOU SEE ON THESE IS VERY IMPORTANT. IT BECAME APPARENT THAT IF WE JUST DID THE ARTWORKS, PEOPLE MAY NOT GET THE THEME. AT LEAST WE CAN SHOW THE NAMES OF THESE COMPANIES THAT WE'RE CELEBRATING AND SOME WRITING WHICH SAYS CLASSIC CARS EVER INDIANA AND THE CUSTOM, THAT CUSTOM SIGNAGE IS PART OF AN INTEGRATED PART OF EACH OF THE ARTWORKS AND ITS A PART OF THE PROJECT. IT'S AN IMPORTANT PART OF THE PROJECT. ADDED COST BUT I THINK IT REALLY IS IMPORTANT TO GIVE SOME CONNEWT TO THE WHOLE -- CONNEW ENGLANDY TO THE WHOLE -- CONTINUITY TO THE WHOLE PROJECT. NEXT ONE.

THIS IS THE LAST ONE. THIS IS AT HAZEL DEL.

WE'VE 96 AND HAZEL DEL. AS SOME OF YOU KNOW, THERE IS SOMETIMES DUST PRESENT AT HAZEL DEL.

[LAUGHTER] AND -- I THOUGHT IT WAS REALLY IMPORTANT TO BEAR THAT IN MIND.

WE DON'T WANT TO HAVE AN ARTWORK THAT'S GOING TO GET COVERED IN DUST OR BE A PAIN TO MAINTAIN.

IT WOULD BE A MISTAKE, FOR EXAMPLE, TO SHOW THE ARTWORK TO PUT THE STUTZ, THE HOOD ORNAMENT.

THAT WOULD BE A POOR CHOICE FOR AN, FOR A LOCATION LIKE THAT. I THOUGHT ABOUT A SHAPE THAT IS VERY SIMPLE THAT CAN BE WASHED HOPEFULLY BY THE RAIN. WE'LL TRY TO PICK OUT PAINT THAT IS GOING TO LET SOME OF THE DUST FALL OFF.

THE MAYOR ASSURED ME IT MAY NOT ALWAYS BE THERE BUT FOR THE FORESEEABLE FUTURE, THERE'S GOING TO BE A QUARRY THERE SO I WANT TO MAKE SURE WE MITIGATE FOR THAT.

MAINTENANCE IT, SHOULD BE EASY TO WASH IT OFF IF IT GET DUST ON IT. THIS IS INSPIRED BY STUD BAKER. THERE WAS A VERY FAMOUS EMBLEM FOR STUDEBAKER. THE LAZY S.

I THINK BY MAKING THREE VARIOUS SIZES THAT ARE INSPIRED BY THE LAZY S., I CAN MAKE AN ARTWORK THAT'S VERY INTERESTING AS PEOPLE DRIVE BY.

AS YOU NEGOTIATE A CIRCLE AROUND THESE, THIS PARTICULAR ARTWORK YOU WILL SEE THE SHAPES WILL SEEM TO BE MOVING BECAUSE OF THEIR S. SHAPED.

THEY'LL BE SINUOUS. ICE TOE CLEAN.

HOW MUCHFULLY DIFFERENT AN ATTRACTIVE AND ALSO A FITTING CELEBRATION OF THE STUDEBAKER COMPANY.

MENT IN EXISTENCE FOR OVER 100 YEARS FROM HAIRS DRAWN CARRIAGES -- HORSE DRAWN CARRIAGES IPS DENTALLY TO ELECTRIC CARS THEN GASOLINE CARS, IT'S RET, WHITE AND BLUE BECAUSE IT WAS THE COMPANY COLORS BUT I THINK IT'S GREAT TO HAVE PATRIOTIC ARTWORK THERE SO THE RED, WHITE AND BLUE WILL BE SUITABLE FOR THAT, TOO.

THAT'S THE END OF MY PRESENTATION.

IF YOU HAVE ANY QUESTIONS I WILL BE HAPPY TO ANSWER

THEM. >> THANK YOU FOR YOUR

PRESENTATION. >> THANK YOU.

>> COMMISSIONERS, QUESTIONS AT THIS POINT?

>> JUST A NOTE. THE FACT WE CALL THAT CAR DEALERSHIP ROW, THAT PROBABLY CAME INTO THE PLAY

I GUESS? >> OH, YES.

IT WOULD HAVE BEEN -- I STARTED THINKING ABOUT GERMAN CARS, FRENCH CAR, I GOT INTO TROUBLE REALLY QUICKLY. SO THAT WON'T BE APPROPRIATE. I ALSO THOUGHT ABOUT BUSES AND VANS AND THEY ARE NOT VERY INSPIRING SHAPES.

SO ONCE I HIT ON CLASSIC CARS THAT WAS A GREAT IDEA BECAUSE IT'S TIMELESS. THEN INDIANA CLASSIC CARS IT'S INCREDIBLE. I'M SURPRISED NOBODY HAS DONE SOMETHING LIKE THAT BEFORE.

SO, YEAH, I THINK IT'S GOING TO BE VERY EXCITING FOR THE DEALERS. IT'S GOING TO ATTRACT BUSINESSES THERE THAT ARE NOT CAR DEALERS.

IT'S GOING TO MAKE THE CORRIDOR REALLY IMPORTANT.

>> VERY GOOD. COMMISSIONER CAMPAGNA.

>> IN RELATION TO THE CLEANLINESS WE SPOKE ABOUT

[00:45:03]

AT HAZEL DELL OR 96TH STREET, WOULD YOU CONSIDER SWAPPING THE PRIORITY WAY AND GRAY ROUND ROUND ABOUT SCULPTURES BECAUSE OF THE CLEANLINESS ISSUES WITH THE

GRAVEL PITS? >> NO.

>> [LAUGHTER] WHEN, ONE OF THE THINGS THAT I HAVE DEPRIVED THE COMMISSION OF IS A SLIDE THAT SHOWS ALL THE FOUR ROUND ABOUTS IN RELATION TO WHERE THEY ARE, AND ARLAND PREVIOUSLY SPOKE ABOUT HOW IMPORTANT IT IS TO HAVE THE RIGHT SCALE AT EVERY ROUND B. WE CAN'T, I DON'T HAVE DEPICTIONS OF ROUND ABOUT BUS THEY'RE NOT ALL THE SAME WIDTH. THEY DON'T ALL HAVE THE SAME SIZE BUILDINGS AROUND THEM. ARLAND REALLY SCALED THE DIFFERENT ART SPECIFICALLY FOR EACH ROUND ABOUT.

AND THE DUST EXAMPLES IS SPECIFIC TO THAT ROUND ABOUT, BUT IT IS PERFECTLY CURATED TO MATCH EXACTLY%

WHAT IS AROUND IT AS WELL. >> I'LL ALSO MENTION THAT I'M PARTICULARLY EXCITED ABOUT THE STUTZ SCULPTURE, I CAN'T WAIT TO SEE WHAT IT LOOKS LIKE IN PERSON.

>> THANK YOU, IT'S A REALLY WONDERFUL EXCITING PROJECT.

I'VE BEEN ASKED THE QUESTION WHY DO ALL FOUR? BUT IT'S A RARE OPPORTUNITY TO MAKE A STATEMENT, THE STATEMENT IS A LOT STRONGER BECAUSE WE CAN DO ALL FOUR.

WE CAN SAY SOMETHING COMPREHENSIVE WITH ALL FOUR.

SO I'M VERY GRATEFUL. IT'S A WONDERFUL ARTISTIC OPPORTUNITY FOR ME TO DO SOMETHING OF THAT SCOPE.

YEAH. >> COMMISSIONER BROOKS.

>> SO THERE WILL ALWAYS BE PEOPLE WHO LOVE IT AND SOME WHO DON'T. BUT THE CITY HAS OVERCOME THAT KIND OF IN A WAY BY HAVING A COMMITTEE OR A COUNCIL GATHERED TO REVIEW AND APPROVE.

SO MR. MESTETSKY, IT I COULD ASK YOU TO REVIEW THAT

APPROVAL PROCESS. >> YES.

THE CITY HAS AN ART REVIEW ADVISORY COMMITTEE, AND ARLAND WAS GRACIOUS TO DRIVE DOWN HERE TWO NIGHTS IN A ROW AT LEAST AND PRESENT THIS PROJECT TO THE ART ADVISORY COMMITTEE LAST NIGHT.

ONE OF THE OTHER POINTS OF CONVERSATION WE DIDN'T GET INTO HERE IS HOW IMPORTANT IT IS TO THE MAYOR TO ENSURE THAT THE HISTORY OF CAR DEALERSHIP AVENUES IF YOU WILL DOESN'T REPEAT ITSELF BY WAY -- WHICH I MEAN ALL THE BEST CAR DEALERS USED TO BE ON 38TH STREET THEN THEY USED TO BE ON 56TH STREET THEN AS DEVELOPMENT CONTINUES TO OCCUR, THEY CONTINUE TO MOVE.

WE WANT TO LOCK THEM IN PLACE.

WE WANT THIS TO BED PREMIER PLACE TO BUY A VEHICLE IN THE STATE. AND SO THE MAYOR'S THINKING ALWAYS HAS ECONOMIC DEVELOPMENT COMPONENT BEHIND IT. THAT'S A HUGE ONE FOR THIS LOCATION. SO ARLAND HAD A CHANCE TO PRESENT ALL THIS. OBVIOUSLY PRESENT THOSE THOUGHTS AS WELL. ART SAD VICARY COMMITTEE UNANIMOUS MISCELLANEOUSLY VOTED TO APPROVE THIS

PROJECT. >> THANK YOU.

>> MR. DIRECTOR, ONE QUICK QUESTION BUS THESE -- QUESTIONS BECAUSE THESE ARE SYMBOLS OF AUTOMOBILE COMPANIES, ALTHOUGH STUTZ ISN'T MAKING MANY BEAR CUTS AND STUDEBAKER I DON'T THINK ARE MAKING MANY AVANTES OR WHATEVER BUT DO WE HAVE THE RIGHTS TO USE THESE SYMBOLS?

>> WE'VE HAD, WE RAN TRADEMARK SEARCH ON EACH OF THE BRAND. LET ME SAY IT THIS WAY: EVEN IF WE DIDN'T WE DON'T BELIEVE THIS, FOR WHAT THIS IS WHICH IS AN HOMAGE TO SOMETHING, THAT COPYRIGHT IS BEING VIOLATED IN ANY CASE. BUT OUT OF AN ABUNDANCE OF CAUTION WE ALSO SEARCHED THE TRADEMARKS WHICH IS REALLY THE ONLY THING THAT COULD BE AN I.P.ISSUE HERE.

IT'S NOT ARTIC INTERPRETATION OF A SYMBOL.

IT'S THE ACTUAL TRADEMARK BRANDS.

THREE OF THE BRANDS, THERE IS NO TRADEMARK, IT'S FULLY EXPIRED. THERE IS A STUTZ TRADEMARK STILL AROUND AND WE HAVE E-MAIL FROM THEIR ATTORNEYS

THAT AUTHORIZED THIS USE. >> THANK YOU VERY MUCH.

ANY OTHER QUESTIONS, COMMISSIONERS? SEEING NONE IF IT'S YOUR PLEASURE, CHAIR WILL ENTERTAIN A MOTION OF APPROVAL.

>> MOVE TO APPROVE. >> THANK YOU.

IS THERE A SECOND? >> SECOND.

[00:50:04]

>> SUCH A GOOD IDEA WE'RE FIGHTING TO SECOND HERE.

BEEN MOVED AND SECONDED. ALL IN FAVOR PLEASE SAY AYE.

VERY GOOD. IT IS APPROVED.

THANK YOU VERY MUCH. LOOK FORWARD TO SEEING THESE LET'S SEE, WE NOW I GUESS ARE ON TO ACTION ITEM 11.

[9k. Action Item #11 – Resolution 2021-28 re: Grant Agreement with 4CDC]

MR. LEE AND THIS HAS GRANT AGREEMENT WITH THE FOUR

C.D.C. . >> THANK YOU.

IF YOU REMEMBER COUPLE OF YEARS AGO THE R. C. D. C.

TOOK OUT A MORTGAGE ON THE JAMES BUILDING.

IT WAS A TWO YEAR MORTGAGE. AND AT THIS POINT, SINCE THEY NOW HAVE THE ENTIRE BUILDING LEASED UP STARTING NEXT YEAR, THEY'RE GOING TO HAVE INCOME TO COVER THIS INSTEAD OF HAVING TO PAY IT OFF AT ONCE THEY WANT TO AMORTGAGE IDENTIFIES THIS SO ESSENTIALLY WHAT THEY'RE DOING IS RENEWING THIS MORTGAGE AND WE'RE NOT GETTING MORE MONEY, JUST THE SAME AMOUNT OF MONEY, RENEWING IT. AND 15 MONTH INTEREST ONLY PERIOD. GOING TO BE A MINKS FOR 45 MONDAY AND GOING TO AMORTIZE OVER 25 YEARS, BEFORE WE DID AND TWO YEARS AGO WE HAD A RESOLUTION WHERE WE HAD A GRANT AGREEMENT SAYING IF FOR SOME REASON 4 C. D. C.

WERE TO FAIL TO MEET ITS OBLIGATION ON DEBT SERVICE, WE WOULD STEP IN. SINCE TERMS ARE CHANGING A LITTLE BIT WITH THE RENEWAL WE WANT TO TO OUT OF AN ABUNDANCE OF CAUTION DO A NEW RESOLUTION TO MAKE SURE WE'RE COVERING THE NEW TERMS FOR THE 4 C. D. C.

>> THANK YOU, MR. LEE, QUESTIONS OF MR. LEE REGARDING THE AMENDMENTS THAT ARE PROPOSED? COMMISSION COMMISSIONER BORROWS.

>> I'VE NOT READ EVERYTHING BUT IN HERE IF WE'RE PROVIDING THIS GRANT AGREEMENT, THAT THE 4 C. D.

C. DOES NOT HAVE THE ABILITY TO PRESENTLY THE REVENUE STREAM TO ANY OTHER OBLIGATIONS UNTIL THIS ONE IS SATISFIED AND OUR GRANT AGREEMENT IS EXTINGUISHED.

SO -- >> YES, EACH GRANT AGREEMENT THAT THE REDEVELOPMENT COMMISSION ENTERS INTO IS UNIQUE TO A PARTICULAR LOAN FACILITY.

SO IT, IT'S NOT SOMETHING THAT YOU MARK AND MARKET AND TAKE ITER TO BANKS AND USE IT AS THE BACKSTOP FOR OTHER

LOANS. >> THE REVENUE STREAM, THE RENTS COLLECTED HERE YOU HAVE THE OPERATING EXPENSES.

WE HAVE THE DEBT SERVICE, IT CREATES A DEBT SERVICE COVERAGE, WE WANT TO MAKE SURE THAT THEY'RE NOT TAKING THAT REVENUE STREAM AND GETTING ANOTHER LOAN ON TOP OF THIS WHICH COULD CONCEIVABLY CREATE A SHORT

FALL. >> THE WAY -- AT LEAST THE EXISTING LOAN WORKS WITH THE EXISTING LOAN DOCUMENTS, THOSE RENTS ARE PLEDGED SOLELY TO THE EXISTING LENDER AND THERE'S NO ABILITY FOR 4 C.D.C. AS THE BORROWER TO PLEDGE THOSE ELSEWHERE.

IF THAT IS RESPONSE TOIV YOUR -- RESPONSE TOIV YOUR

QUESTION. >> I'LL ALSO ADD 4 C.D.C. MEETS ONE A MONTH, AND BOTH FINANCE MANAGER MIKE LEE AND I ATTEND EACH MEETING.

>> RIGHT OF KNEW THAT PIECE. I DIDN'T KNOW IF SOMETHING LIKE THAT NEEDED TO BE INCORPORATED INTO THE GRANT AGREEMENT SO THAT IT DOES PROTECT OUR REVENUE STREAM.

SO IT'S -- I MEAN IN OTHER DEALS WE'VE DONE WHERE THERE IS MULTIPLE LOANS AGAINST A REVENUE STREAM, WE'VE GOT DEBT SERVICE COVERAGES SO IT'S 120 DEBT SERVICE AND YOU HAVE EXCESS FUNDS AND YOU CAN BORROW MONEY THEN IT TAKES IT TO A DIFFERENT LEVEL BUT AT LEAST WE'RE NOW WE'RE ALWAYS COVERED AT A 120.

SO I THINK IT'S A PRUDENT THING IF IN ESSENCE THIS GRANT AGREEMENT EVER CAME BACK TO US BECAUSE THEY PLEDGED OR THEY USED REVENUE FOR OTHER SOURCES.

NOT THAT THEY WOULD. I'M JUST SAYING IT'S --

>> I THINK YOU MAKE A VERY GOOD POINT: WE'LL ENSURE WE'RE FULLY PROTECTED FROM THAT ANGEL.

>> THANK YOU. >> THANK YOU.

OTHER QUESTIONS OR COMMENTS AT THIS POINT? SEEING NONE IF IT'S YOUR PLEASURE, ACTION, CHAIR WOULD ENTERTAIN A MOTION OF APPROVAL FOR ACTION ITEM

NUMBER 11? >> MOVE TO APPROVE.

>> THANK YOU, IS THERE A SECOND?

>> SECOND. >> THANK YOU, COMMISSIONER.

IT HAS BEEN MOVED AND SECONDED.

ALL IN FAVOR SAY AYE.

OPPOSED SAME SIGN. IT IS APPROVED.

WE WILL NOW MOVE ON TO ACTION ITEM NUMBER 12 WHICH

[Additional Item]

IS THE APPROVAL OF RECEIPT OF LAND AND ONCE AGAIN

MR. -- >> I'LL DIRECT COMMISSIONERS

[00:55:02]

TO THIS DEPICTION OF WHAT THE CIVIC SQUARE PARKING GARAGE IS GOING TO LOOK LIKE WHEN IT'S BUILT.

THIS TINY SLIVER OF IT RIGHT OVER HERE, THOUGH.

SOME LAND. CURRENTLY OWNED BY PET CORP.

PET CORP IS GIVING US THIS LAND FOR FREE AND THIS IS A VOTE TO ACCEPT THAT FREE LAND.

THERE YOU GO. >> THANK YOU, MR. DIRECTOR, QUESTIONS OF THE DIRECTOR REGARDING THE RECEIPT OF THE LAND FOR THE SOUTHERN PORTION OF THE CIVIC SQUARE GARGE? ANY QUESTIONS?

PRESIDENT -- >> MOVE TO APPROVE THE FREE

LAND. >> THANK YOU.

IT HAS BEEN MOVED. >> SECOND.

>> IT HAS BEEN MOVED AND SECONDED.

HAVING BEEN MOVED AND SENDED ALL IN FAVOR PLEASE SAY AYE.

THANK YOU VERY MUCH. WE'LL NOW MOVE ON TO ACTION ITEM NUMBER 13 WHICH IS DECLARATORY RESOLUTION 120-29 -- 2021-29 OF THE CARMEL REDEVELOPMENT COMMISSION AMENDING THE DECLARATORY RESOLUTION AND DEVELOPMENT PLAN FOR THE MONEYON AND SMOKEY ALLOCATION AREA. ONCE AGAIN MR. LEE.

>> THANK YOU. I'M GOING TO TRY TO TACKLE THIS ONE AND THE OTHER ONE BECAUSE THEY'RE RELATED.

SO WE'VE FIRST FORMED THE SMOKEY MONON ALLOCATION AREA IN 2019. AT THAT TIME THERE WERE ALL, THERE WAS ONLY FOUR OR FIVE LARGE PARCELS THAT MADE UP THE WHOLE THING. WE THOUGHT THAT BOND WAG -- WAS GOING FAST. WE LURCHED THEM ALL IN THE SAME ALLOCATION AREA. CALCULATED EVERYTHING AND THE DEAL CHANGED OVERTIME. AND THIS PAST YEAR, OBVIOUSLY THE BONDS HAVEN'T CLOSED YET, AND THIS PAST YEAR THEY REPLATTED THE ENTIRE SIGHT ARE SITE AND IT'S SPLIT UP TO SECTIONS FOR THE FIRST PHASE WHERE YOU CAN SIGH IT'S EVERYTHING KIND OF SOUTH OF THIS, THIS HERE. AND THE FIRST PHASE IS MULTIFAMILY AND SINGLE FAMILY RESIDENTIAL.

SO IN ORDER TO MAKE SURE THAT WE DON'T NEGATIVELY IMPACT THE TIF IN THE FUTURE WITH THE RESIDENTIAL PARCELS BECAUSE THOSE CAN'T PRODUCE ANY INCREMENT BUT THEY COULD HARM WITH NEGATIVE INCREMENT WE WANTED TO TAKE OUT THE OTHER PARCELS AND LEAVE THE MULTIFAMILIES IN RED THE ONLY ONES WE'LL BE ABLE TO COLLECT ANY INCREMENT ON.

THAT WILL HELP US WITH THE BASE ASESSIONED VALUE.

NOW IF WE'RE TAKING THOSE PARCELS OUT EXPECT FOR THE MULTIFAMILY THAT LOWS THE BASIS VALUE FOR THIS AREA AS WELL AND WILL ONLY BOOST THE INCREMENT FOR THE BOND.

ACTION ITEM 14 IN RELATION TO THAT IS DOING SOMETHING SIMILAR. AMENDING THE LAST TIF PLEDGE RESTS LUG FOR THE BONDS TO SAY WE'RE ONLY PLEDGING THESE FOUR PARCELS THAT ARE HIGHLIGHTED HERE TOWARDS THOSE BONDS. RATHER THAN ALL THE OTHER PARCELS THAT WERE THERE BEFORE.

>> THANK YOU, MR. LEE. QUESTIONS OF MR. LEE REGARDING THE DECLARATORY RESOLUTION AMENDMENT? SEEING NONE IF IT'S YOUR PLEASURE, GENTLEMEN, THE CHAIR WOULD ENTERTAIN A MOTION OF APPROVAL.

>> MOVE TO APPROVE DECLARATORY RESOLUTION

2021-29. >> GOT THE RIGHT NUMBER, GOOD. [LAUGHTER]

>> THANK YOU, COMMISSIONER BROOKS.

IS THERE A SECOND? >> SECOND.

>> BEEN MOVED AND SECONDED. ALL IN FAVOR PLEASE SAY AYE.

IT IS APPROVED. THANK YOU VERY MUCH, GENTLEMEN. WE'RE NOW MOVING ON TO

[Additional Item]

ACTION ITEM NUMBER 14, 2021-30 OF THE CARMEL CARMEL REDEVELOPMENT COMMISSION AMENDMENT OF 2021-7 PLEDGING CERTAIN TAX INCREMENT REVENUES TO THE PAYMENT OF THE CITY OF CARMEL, INDIANA ECONOMIC DEVELOPMENT BONDS FOR THE SMOKEY AND MONEYON PROJECT, TRY SAYING THAT THREE TIMES FAST. MR. LEE.

>> SO THIS IS AGAIN THE RESOLUTION I JUST WENT OVER WITH THE TIF PLEDGE. ROLLING PLEDGING FROM THE FOUR PARCELS RIGHT THERE. QUESTIONS LET ME KNOW.

>> QUESTIONS OF MR. LEE? >> MOVE TO APPROVE.

>> THANK YOU. >> SECOND.

>> IS THERE A SECOND. >> SECOND.

>> IT HAS BEEN MOVED AND SECONDED.

ALL IN FAVOR SAY AYE.

>> OPPOSED SAME SIGN. IT IS APPROVED.
