[4. EXECUTIVE DIRECTOR REPORT]
ANY OTHER FINANCIAL MATTERS TO COME BEFORE US? OKAY THANK YOU. WE'LL NOW MOVE TO THE EXECUTIVE DIRECTOR'S REPORT. MR. MESTETSKY.>> THANK YOU ALL. BUSY TIME IN OCTOBER.
TALKING ABOUT SOME OF THE DEVELOPMENTS THAT ARE GOING ON RIGHT NOW. THE REN CONTINUES TO BE UNDER CONSTRUCTION THAT ARE MAKING SURFACE PROGRESS ON THAT.
IT'S NICE TO SEE THAT TAKE SHAPE.
SAME WITH THE WINDSOR, NICE TO SEE THE ARCHITECT DETAILS START TO BECOME CLEAR. ON THE TOP THOSE ARE NOT FAKE CHIMNEYS, THOSE ARE PARAPET FEATURES.
ANYONE OUT THERE LISTENING OR E-MAILING STAFF.
THE -- IN THE INDY CHAMBER EVERY YEAR CONDUCTS AWARDS FOR THE INDIANA CENTRAL REGION. THIS YEAR A HOST OF CARMEL PROJECTS WERE HONORED. AS I GO THROUGH THIS REPORT I'LL JUST CALL OUT THE CARMEL PROJECTS THAT WON AWARDS.
PROBABLY THE BIGGEST AWARD WORCH WAS A NUMBER 1 SPOT FOR REAL ESTATE DEVELOPMENT PROPERTY FOR THE PRECENIUM PROJECT.
DEPUTY DIRECTOR AND I BOTH JOINED OUR FRIENDS AT TONY BERKLA AND HIS COMPANY AT THE AWARDS CEREMONY.
IT WAS NICE TO SEE CARMEL GET RECOGNIZED APRIL WIN THE REAL ESTATE CATEGORY. TAVERN ON THE GREEN IS STILL MAKING ITS WAY THROUGH THE DEPARTMENT OF COMMUNITY SERVICES PROCESS. ELONGE IS NOW REALLY ON THEIR FINAL TOWN HOMES AT THIS POINT. THAT'S MOVING FORWARD.
[00:05:02]
FIRST ON MAIN'S REALLY MADE A LOT OF PROGRESS.IT'S NICE TO SEE THE SURFACE ADD FINALLY TAKE SHAPE ON SOME OF THOSE BUILDINGS. WE EXPECT THE GRAND OPENING FOR THAT ONE TO HAPPEN SOON. MAGNOLIA'S NOW UNDERWAY ON THEIR SECOND BUILDING, FINISHING UP THEIR SECOND BUILDING SO THAT'S MOVING FORWARD. THE MUSE HAS MADE A LOT OF PROGRESS. IT'S LOOKING BETTER AND BETTER EVERY DAY. IT'S A NICE PROMPT, YOU REMEMBER THE REDEVELOPMENT COMMISSION IS WORKING TO PROVIDE A TRAIL HEAD FOR OUR WONDERFUL PARKS DEPARTMENT AS PART OF THAT PROJECT. SIGNATURE CONTINUES TO MOVE FORWARD AS WELL. NOTHING NEW ON THE GARAGES.
MURALS ARE BEAUTIFUL. HAMPTON CROSSING OR SPECIFICALLY THE NEW REPUBLIC TRAINING CENTER WAS ALSO AN AWARD WINNER.
A FINALIST IN THE CONSTRUCTION CATEGORY.
NOT EASY TO PUT $10 MILLION AIRPLANE TRAINING, NOT EASY TO FLY SOME OF THOSE AS SOME OF YOU KNOW.
PRECENIUM 2 IS REALLY TAKING SHAPE, IT'S NICE TO SEE THAT.
111 RANGE LINE, LAST THREE PROJECTS WE JUST TALKED ABOUT ARE ALL EAST OF RANGE LINE WHICH I THINK IS A MOMENT THAT REDEVELOPMENT COMMISSIONERS HAVE BEEN WAITING FOR A LONG TIME.
SO WALKABILITY AND URBANIM IS COMING ALONG GOING EAST OF RANGE LINE. ICON ON MAIN IS GOING WELL, UNDER CONSTRUCTION FOR THE NEXT TWO YEARS AND WILL FEATURE A PLAZA ON THE CORNER. HOLD ON SQUARE NORTH, WE'RE CONTINUING TO WORK WITH THEM TO MOVER THAT PROJECT FORWARD, HOPING FOR AN END OF YEAR CLOSING AND CONSTRUCTION START.
ENGINEERING DEPARTMENT IS ALSO WORKING BUT STREET GRID THROUGH THAT PROJECT INCLUDING VETERANS WAY THEY'LL ALL BE GOING SHORTLY. MAJOR NEWS WITH RESPECT TO THE AT&T SITE PROJECT. THEY CLOSED ON THEIR LOAN AND THEIR BONDS. AND SO THAT PROJECT SHOULD BE STARTING MOMENTARILY. IT WILL BE A BIG ONE.
OFFICES ARE STILL BEING BUILT, NEW OFFICES ARE STILL BEING BUILT IN THE HEART OF CARMEL. THE HISTORICAL SOCIETY NEW SITE IS UNDER CRUK, PUT A MILLION AND A HALF DOLLARS INTO THAT PROJECT THAT ENSURED THE FACADE LOOKED THE WAY THAT IT DID AND WE'RE ALSO HELPING FUND SOME OF THE INTERIOR EXHIBIT DESIGN.
SO THAT IT IS ALL CONGRUENT AS THE HISTORIC SOCIETY CONTINUES TO RAISE FUNDS TO IMPLEMENT SOME OF THOSE EXHIBITS.
ONE OF OUR RECENT ART -- ROUND ABOUT ART ACQUISITIONS, LET ME RESTART HAD. WHEN THE REDEVELOPMENT COMMISSION PURCHASES ROUND ABOUT ART THEY WIN AWARDS.
MARMON GOT A SECOND PLACE AWARD FOR PUBLIC ART WHICH IS INCREDIBLE. THIRD PLACE WAS ALL OF THE PUBLIC ART INSIDE BANKERS LIFE FIELD HOUSE LIKE 300 PIECES CURE EIGCURATED. WE GOT SECOND PLACE.
DO YOU REMEMBER WHO GOT FIRST? WE'RE TAKING PICTURES AT THE TIME. SO -- I DON'T REMEMBER WHAT GOT FIRST, I'M SORRY. AND LET'S SEE.
ANYTHING ELSE? OH AND SHOUT OUT TO OUR FRIENDS AT THE PARKS DEPARTMENT. MEADOWLARK PARK GOT SECOND PLACE FOR LANDSCAPE ARCHITECTURE. SO MONUMENTAL AWARDS, CARMEL SHOWED UP, DRIVE SOUTH OF 96TH STREET, CAME HOME WITH AWARDS.
FEELS NICE. AND FINALLY I JUST WANTED TO AGAIN HIGHLIGHT HOW THE COLLIDEE KALEIDOSCOPE IS DOING GREAT, EVERY NIGHT RAT NIGHT FALL STARTING AT 8:30 YOU CAN WATCH A FREE WORLD CLASS SHOW. SO BRING YOUR FAMILY AND THEN GO SHOPPING. AND THAT CONCLUDES THE DIRECTOR'S PRESENTATION. I'M HAPPY TO ANSWER ANY
[00:10:03]
QUESTIONS. >> THANK YOU, MR. DIRECTOR.
ARE THERE ANY QUESTIONS COMMISSIONERS ON ANY OF OUR
[5. COMMITTEE REPORTS]
PROJECTS? SEEING NONE, WE WILL THEN MOVE ON TO OUR NEXT ORDER OF BUSINESS WHICH IS COMMITTEE REPORTS.AND THE ARCHITECTURAL REVIEW COMMITTEE.
>> THANK YOU, MR. PRESIDENT. WE MET TWICE SINCE THE LAST TIME WE'VE TALKED. OFFICIALLY.
AND THE FIRST ARCHITECTURAL CONTROL COMMITTEE MEETING WAS ON SEPTEMBER 20TH. AND WE AT THAT POINT IN TIME REVIEWED THE OLD TOWN TOWN HOMES WE TALKED ABOUT A LIMB WHILE AGO 111 SOUTH RANGELINE ROAD PROJECT.
MS. SANDERS REMINDED US THAT THE SO IT PLAN ITSELF HAD BEEN PREVIOUSLY REVIEWED BY THE ARCHITECTURAL REVIEW COMMITTEE WHEN WE REVIEWED THE WHOLE MIXED USE PROPOSAL.
WE HAD A LOOK AT THE TOWN HOMES PROJECT.
AND THE CRC STAFF COORDINATED WITH OTHER DEPARTMENTS WITHIN CARMEL, AND PRESENTED IN A MEETING PACKET WHICH WE APPROVED. (INAUDIBLE).
>> OKAY, THAT'S ALL RIGHT. I THOUGHT THAT -- THOUGHT THEY WERE DEMONSTRATING FOR YOU ON YOUR BEHALF BECAUSE OF ALL THE AWARDS YOU WON. POSITIVE DEMONSTRATION.
SO WHERE WAS I? OKAY SO THERE WERE A FEW ITEMS, FEW MINOR ITEMS IN THE REVIEW. AND WE APPROVED IT BASED ON THE FACT THAT THE DEVELOPER WOULD WORK THROUGH THOSE ITEMS DURING THE ADLS PROCESS. SO THAT WAS THE OLD TOWN TOWN HOMES. AND THEN WE JUST MET TODAY IN FACT TO TALK ABOUT HEADQUARTERS PROJECT OUT THERE, BUILDING PLANS AND ELEVATIONS, VERY SIMILAR TO THE MEETING IN SEPTEMBER. THERE WERE VERY FEW NOTES, MS. GILLESPIE PRESENTED THE PROJECT WHICH SHE HAD COORDINATED WITH FOLKS WITHIN CARMEL GOVERNMENT.
AND THERE WERE JUST VERY FEW AND WE APPROVED IT BASED UPON THE FACT THAT THE DEVELOPER WOULD WORK THROUGH THOSE MINOR ISSUES DURING THE ADLS PROCESS. SO WE'VE APPROVED THE SITE PLANS AND THE BUILDING PLANS AND ELEVATIONS FOR THE REPUBLIC HEADQUARTERS PROJECT. THAT'S WHAT WE DID.
>> VERY GOOD, THANK YOU COMMISSIONER BROOKS.
ANY QUESTIONS OF COMMISSIONER BROOKS? IF NOT WE WILL MOVE ON. IS THERE ANY OLD BUSINESS TO
COME BEFORE US THIS EVENING? >> THERE'S NOT MR. PRESIDENT.
[7.a. Public Hearing for City Center RDA Expansion confirmatory resolution]
>> THANK YOU, MR. DIRECTOR. THEN WE'LL MOVE TO NEW BUSINESS.
AND OUR -- LOOKS LIKE OUR FIRST ORDER MUCH BUSINESS IS A PUBLIC HEARING FOR THE CITY CENTER REDEVELOPMENT AREA EXPANSION CONFIRM TATORY RESOLUTION AND MR. LEE IF YOU WOULD LIKE TO
TALK ABOUT THIS PROJECT FOR US. >> THANK YOU.
AS YOU MENTIONED IT'S THE CONFIRMATORY RESOLUTION FOR THE C CENTER RDA EXPANSION CENTER AND THIS IS THE LAST STEP FOR COMPLETING THIS AREA, A REDEVELOPMENT AREA EXPANSION.
AND AS YOU CAN SEE HERE THIS IS JUST SOUTH OF MODON SQUARE, SO WE HAVE CITY CENTER DRIVE HERE AND RANGE LINE ROAD HERE ON THE EAST SIDE. WE'LL BE ADDING THOSE FOUR PARCELS INTO THE EXPANDED CITY CENTER AREA.
AND PLEASE LET ME KNOW IF YOU HAVE ANY QUESTIONS.
>> ANY QUESTIONS OF MR. LEE? I WOULD REMIND EVERYONE THAT THE REDEVELOPMENT PROCESS HERE BEGINS WITH THE DECLARATORY RESOLUTION. IT THEN GOES TO THE CITY PLANNING COMMISSION, ON TO THE CITY COUNCIL.
THE NEXT STEP WHICH IS WHERE WE ARE COMES BACK HERE FOR A PUBLIC HEARING AND THEN A FINAL STEP WOULD BE CONSIDERATION OF THE CONFIRMATORY RESOLUTION. SO LET'S SEE, I'VE GOT 6:45 AND I'LL DECLARE THE PUBLIC HEARING FOR THE -- FOR THIS EXPANSION AREA TO BE OPEN. IS THERE ANYONE THAT WOULD LIKE TO SPEAK IN FAVOR OF THE PROJECT? SEEING NONE, IS THERE ANYONE WHO WOULD LIKE TO SPEAK IN
[00:15:01]
OPPOSITION? SEEING NO ONE, I WILL DECLARE AT 6:46 THE PUBLIC HEARING TO BE CLOSED.[7.b. Action Item #1 – Resolution 2023-33 re: City Center RDA Expansion Confirmatory Resolution]
THANK YOU VERY MUCH. WE WILL NOW MOVE ON TO OUR NEXT ORDER OF BUSINESS WHICH IS ACTION ITEM NUMBER 1, WHICH IS RESOLUTION 2023-33, THE CONFIRMATORY RESOLUTION FOR THE CITY CENTER RDA EXPANSION. AND ONCE AGAIN, MR. LEE.>> I DON'T HAVE ANYTHING ELSE TO ADD UNLESS ANYBODY HAS ANY
QUESTIONS. >> ANY QUESTIONS OF MR. LEE? SEEING NONE, IF IT'S YOUR PLEASURE, COMMISSION MEMBERS, THE CHAIR WILL ENTERTAIN A MOTION OF APPROVAL.
>> MOTION TO APPROVE RESOLUTION 2023-33.
>> THANK YOU. IS THERE A SECOND?
>> SECOND. >> THANK YOU, COMMISSIONER BROOKS. IT'S BEEN MOVED AND SECONDED.
>> ANY OPPOSED, SAME SIDE. IT IS APPROVED, THANK YOU VERY MUCH, COMMISSIONERS. RESOLUTION 2023-33 IS APPROVED.
[7.c. Action Item #2 – Roundabout art contract]
SO WE'LL NOW MOVE ON TO OUR NEXT ACTION ITEM, WHICH IS APPROVAL OF A CONTRACT FOR ROUND ABOUT ART AT EAST MAIN STREET AND NORTH RICHLAND AVENUE. AND THIS, MR. DIRECTOR.>> THANK YOU. THE ADMINISTRATION USED AN ART SELECTION PROGRAM CALLED CODA WORKS WHICH IS A NATIONAL SEARCH OF ARTISTS THAT RESPOND TO AN RFP FOR SPECIFIC KIND OF ART.
THE CITY WANTED TO ENHANCE ITS MAIN STREET AND ITS ENTRANCE INTO -- BOTH ITS ENTRANCE INTO THE ART AND DESIGN DISTRICT AS WELL AS REALLY OUR EDUCATION CAMPUS TO PUT SOME ART IN THE ROUND ABOUT IN FRONT OF THE NEW LIBRARY.
THIS IS CALLED TAKING FLIGHT. THERE ARE A NUMBER OF BOOKS, I BELIEVE 100 TOTAL. THEY ARE ALL INDIVIDUALLY LIT.
SO AT NIGHT THEY LIGHT UP. AND IT IS MEANT TO INSPIRE OUR YOUNG READERS, TO CHECK OUT SOME BOOKS ON THE WAY TO THE LIBRARY.
AND IT'S FRANKLY BEAUTIFUL IN MY OPINION.
SO WE ARE SEEKING APPROVAL OF A CONTRACT FOR $430,000 THAT WOULD INCLUDE AN ARTIST DESIGNING THIS, FABRICATING THIS AND INSTALLING IT ALL UNDER ONE CONTRACT.
SO THERE'S -- IF SOMETHING GOES WRONG WE HAVE ONE PERSON TO GO AFTER INSTEAD OF A NUMBER OF DIFFERENT ONES.
AND IF THIS COMMISSION VOTES TO APPROVE, IT WILL GO TO THE ART ADVISORY COMMITTEE FOR THEIR NONBINDING COMMENTARY NEXT.
THIS IS PROBABLY, ONCE APPROVED, PROBABLY ABOUT SIX MONTHS UNTIL
IT GETS INSTALLED. >> THANK YOU MR. DIRECTOR.
COMMISSIONERS, ANY QUESTIONS OF THE DIRECTOR REGARDING THIS?
COMMISSIONER -- >> JUST A QUICK ONE ON THE FUNDING. COMING DOWN THE 902 FUNDS OR AVAILABLE FUNDS. THIS WAS SOMETHING THAT WAS CONTEMPLATED IN OUR BUDGET PROCESS AND THIS IS NOT SOMETHING EXTRA ON TOP OF WHAT WE'D ALREADY CONTEMPLATED?
JUST WANTED TO CLARIFY. >> YOU ARE CORRECT.
YOU KNOW, WE APPROVE A BUDGET. THIS COMMISSION APPROVES A BUDGET EVERY YEAR THAT'S REVIEWED BY STAFF, REVIEWED BY VICE PRESIDENT BOWERS AND THE BUDGET HAS CAPITAL EXPENDITURE LINE ITEMS FOR EXACTLY STUFF LIKE THIS.
SO THIS WAS ALWAYS CONTEMPLATED AS AN EXPENDITURE FOR THIS YEAR.
>> MAY I ASK AGAIN, WHO SELECTED THIS PIECE OF ART?
>> IT WAS DONE BY A COMMITTEE OF ARTISTS, FRANKLY.
INCLUDING ARLON BAYLESS WHO DID THE ROUND ABOUT ART ON 96TH STREET IN WHICH HE WAS AN ACTUAL ARTIST.
SO FOR THEY WAS ONE OF OUR ART CONSULTANTS TO HELP US PICK OUT REALLY GOOD ART. HE WITH SOME OTHER ARTISTIC PEOPLE AS WELL. SO -- AND IT CAME OUT OF THE MAYOR'S OFFICE BUT WE DID A NATIONAL SEARCH, HAD A WHOLE
BUNCH OF RESPONSES. >> AND IT'S MEANT AS AN INSPIRATION PIECE PRIMARILY FOR THE STUDENTS.
>> I AM EQUALLY INSPIRED BY IT. >> I KNOW THAT YOU ARE.
>> ALL READERS. >> YES, THERE IS NO AUDIO BOOKS IN THIS SCULPTURE UNFORTUNATELY. IT SHOULD LOOK AS BEAUTIFUL IN THE NIGHTTIME AS IT DOES DURING THE DAY WHICH SHOULD BE REALLY
[00:20:03]
COMMISSIONERS? SEEING NONE, IF IT'S YOUR PLEASURE, CHAIR WILL ENTERTAIN A MOTION OF APPROVAL.>> MOTION TO APPROVE THE CONTRACT FOR ROUND ABOUT ART AT EAST MAIN STREET AND NORTH RICHLAND AVENUE.
>> THANK YOU, COMMISSIONER SASENA.
>> IT'S BEEN MOVED AND SECONDED. ALL IN FAVOR PLEASE SAY AYE.
IT IS APPROVED. HOPEFULLY OUR KIDS YOUNG
[7.d. Action Item #3 – Resolution 2023-34 re: contract for economic development consulting services]
CHILDREN WILL BE READING AWAY SO THAT WILL BE GOOD.WE'LL MOVE ON NOW TO OUR ACTION ITEM NUMBER 3 AND THIS IS RESOLUTION 2023-34, OF THE CARMEL REDEVELOPMENT COMMISSION, TO AUTHORIZE STAFF TO NEGOTIATE A CONTRACT FOR ECONOMIC DEVELOPMENT CUNLTING SERVICES. . MR. DIRECTOR.
>> WE'RE LOOKING TO DRIVE MORE ECONOMIC DEVELOPMENT TOWARDS CONTINUALLY ENHANCING OUR DOWNTOWN AREAS.
SO MARKET VENTURES IS AN ACADEMIC DEVELOPMENT CONSULT ARE CONSULTANT THAT WILL PROVIDE US ECONOMIC VICE TO ADVICE TO SEE E
CAN FURTHER ENHANCE THAT. >> FURTHER DIRECTION?
YES, COMMISSIONER. >> COMING OUT OF THE 902 FUNDS THIS IS SOMETHING WE CONTEMPLATESORT OF AS A WISH LIST THE BEGINNING OF THE YEAR, AND IT'S COMING OUT OF I WOULD ASSUME PROFESSIONAL FEES AND NOT SOMETHING ON TOP OF THE BUDGET
THAT WE'VE ALREADY APPROVED. >> VERY GOOD, ANY OTHER QUESTIONS, COMMISSIONERS? SEEING NONE, IF IT'S YOUR PLEASURE, CHAIR WILL ENTERTAIN A MOTION OF APPROVAL.
COMMISSIONER BROOKS. >> MOTION TO APPROVE RESOLUTION 2023-34, AUTHORIZING STAFF TO NEGOTIATE AND ENTER INTO A CONTRACT WITH MARKET VENTURES IN THE AMOUNT OF $70,800 PAYABLE
FROM 902 FUND. >> SECOND, IS THERE A SECOND TO
>> THANK YOU COMMISSIONER SASENA.
IT'S BEEN MOVED AND SECONDED. ALL IN FAVOR, SAY I'M.
[7.e. Action Item #4 – Approval of Estoppel Certificate]
IT IS APPROVED. WE ARE MOVING ON, APPROVAL OF ANESTOPPEL CERTIFICATE. >> THESE ARE THE APARTMENTS THAT ARE JUST TO THE WEST OF THE CAMPUS, SUBJECT TO A SALE.
OFTENTIMES WHEN DEVELOPERS IN TIFF AREAS ARE DOING A MAJOR DISPOSITION OF ASSETS, THEY NEED ESESTOPPEL CERTIFICATES.
WE ARE GOING TO REVIEW AND PROBABLY GRANT THEM THE ESTOPPEL. THE ONE THING I DO WANT TO ASK IS, THAT THIS ACTION ITEM BE AMENDED NOT TO SAY APPROVAL UPON THE ADVICE OF STAFF. WE'VE JUST SENT OUT A REIMBURSEMENT AGREEMENT BECAUSE ANY TIME THESE THINGS COME THROUGH, THE FIRST THING I NEED IS TO MAKE SURE THAT THE OTHER PARTY SIGNS A REIMBURSEMENT CERTIFICATE, PAYING THE OTHER PARTIES DOING THE WORK. THESE WOULD BE PAID, SOMETIMES THEY SELL, SOMETIMES THEY DON'T. WE DON'T WANT TO SPEND ATTORNEY'S FEES HELPING THE SALE THAT NEVER HAPPENS.
SO THAT'S GOING TO HAPPEN FIRST. BUT ASSUMING THAT GOES THROUGH, WE'RE GOING TO REVIEW AND MAKE SURE THAT THEY CAN GET THEIR ESTOPPELS. BUT IF YOU COULD SAY THAT IT'S NOT APPROVED TODAY BUT THAT YOU WOULD GRANT APPROVAL UPON STAFF RECOMMENDATION. SO THAT YOU CAN GIVE THE -- SO WE DON'T HAVE TO MEET AGAIN ON THIS BUT IT WOULD ALLOW US TO ACT MUCH QUICKER THAN WAITING ANOTHER 30 DAYS IF EVERYTHING'S
GOOD TO GO. >> VERY GOOD, THANK YOU MR. DIRECTOR. QUESTIONS OF THE DIRECTOR REGARDING THIS ACTION ITEM THAT IS BEFORE US? SEEING NONE, IF IT'S YOUR PLEASURE, COMMISSIONERS, THE CHAIR WOULD ENTERTAIN A MOTION WITH THE PROPOSED AMENDMENT THAT
THE DIRECTOR HAS RECOMMENDED. >> MOTION TO APPROVE THE
[00:25:07]
ESTOPPEL CERTIFICATE REGARDING DECLARATION OF COVENANTS ANDEASEMENTS. >> THANK YOU, COMMISSIONER.
>> IT'S BEEN MOVED AND SECONDED. ALL IN FAVOR OF THE MOTION AS AMENDED SAY AYE.
>> ANY OPPOSED, IT IS APPROVED. THANK YOU COMMISSIONERS.
IS THERE ANY OTHER BUSINESS TO COME BEFORE US THIS EVENING,
[9. EXECUTION OF DOCUMENTS]
MR. DIRECTOR? >> THERE IS NOT, MR. PRESIDENT.
>> THANK YOU VERY MUCH. OUR SECOND, CHECK HERE.
OUR NEXT REGULAR MEETING WILL BE ON WET, NOVEMBER 15TH, AT 6:30 P.M. HERE IN THE CARMEL CITY COUNCIL CHAMBERS.
AND SO WITH THAT, WITHOUT OBJECTION, I'LL DECLARE US TO BE ADJOURNED PENDING THE EXECUTION OF DOCUMENTS.
THANK YOU FOR ALL FOR BEING HERE
